Last updated: October 10, 2026

These Terms of Service ("Terms") govern your use of the website at devcolabs.me and any services provided by DevcoLabs ("we", "us", or "our"), a software development studio based in Colombo, Sri Lanka. By accessing the site or engaging our services you agree to these Terms.

1. Acceptance of Terms

Agreement

By accessing devcolabs.me or engaging DevcoLabs for any services, you confirm that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree, please do not use the site or our services.

Updates

We may revise these Terms at any time. The 'Last updated' date at the top of this page reflects the most recent revision. Continued use of the site or services after changes are posted constitutes acceptance of the revised Terms.

2. Services

Scope

DevcoLabs provides software development, UI/UX design, mobile application development, SaaS development, e-commerce development, and related digital services. The specific scope, deliverables, timeline, and fees for each engagement are defined in a separate Statement of Work (SOW) or project proposal agreed upon by both parties.

Changes to scope

Any additions or changes to the agreed scope must be documented in writing. Additional work outside the original SOW may be subject to additional fees and revised timelines.

3. Client Responsibilities

Cooperation

You agree to provide timely feedback, approvals, and any content, assets, or access credentials necessary for us to deliver the services. Delays caused by a failure to provide required input may affect the project timeline.

Accuracy

You are responsible for ensuring that any information, materials, or specifications you provide are accurate and do not infringe the intellectual property rights or other rights of any third party.

Legal compliance

You agree that the products and services delivered by DevcoLabs will be used in compliance with all applicable laws and regulations.

4. Payment Terms

Fees

Project fees are agreed upon in the SOW or proposal. Unless otherwise stated, we require a deposit before work commences, with the balance due on agreed milestones or upon delivery.

Late payment

Invoices not paid within the agreed period may incur a late payment charge. We reserve the right to pause work on a project until outstanding invoices are settled.

Refunds

Deposits are non-refundable once work has commenced. Milestone payments already disbursed are non-refundable for work already delivered. We will discuss any concerns about deliverables in good faith before any refund decision is made.

5. Intellectual Property

Client ownership

Upon receipt of full payment, DevcoLabs assigns to you all intellectual property rights in the custom deliverables created specifically for your project, including source code, designs, and written content produced exclusively for you.

Pre-existing IP & tools

DevcoLabs retains ownership of all pre-existing intellectual property, proprietary frameworks, libraries, and tools used in the delivery of services. You receive a non-exclusive, royalty-free licence to use such materials as incorporated into your deliverables.

Third-party components

Projects may incorporate open-source or third-party components. Those components are subject to their own licences. We will notify you of any significant third-party licences in the project documentation.

Portfolio rights

Unless you request otherwise in writing, we reserve the right to display your project (without disclosing confidential information) in our portfolio and marketing materials.

6. Confidentiality

Mutual obligation

Both parties agree to keep confidential any non-public information shared in the course of the engagement, including business plans, technical specifications, pricing, and client data. Confidential information may not be disclosed to third parties without prior written consent, except as required by law.

Duration

Confidentiality obligations survive termination of the engagement for a period of three (3) years.

7. Warranties & Disclaimers

Our warranty

We warrant that the services will be performed in a professional manner consistent with industry standards and that deliverables will materially conform to the agreed specifications at the time of delivery.

Disclaimer

Except as expressly stated above, the site and services are provided "as is" without warranty of any kind, express or implied. We do not warrant that the site will be uninterrupted, error-free, or free of harmful components.

Post-launch support

A 30-day post-launch support window is included in all project engagements. After this period, ongoing support is available under a separate retainer agreement.

8. Limitation of Liability

Cap on liability

To the fullest extent permitted by law, DevcoLabs's total liability arising out of or related to these Terms or any project engagement shall not exceed the total fees paid by you to DevcoLabs in the three (3) months immediately preceding the claim.

Excluded damages

In no event shall DevcoLabs be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or loss of business opportunities, even if we have been advised of the possibility of such damages.

9. Termination

By either party

Either party may terminate an engagement with 14 days' written notice. You will be invoiced for all work completed up to the termination date, and any unused portion of a prepaid retainer will be refunded on a pro-rata basis.

Immediate termination

We may suspend or terminate services immediately if you breach these Terms or engage in conduct we reasonably believe is harmful to DevcoLabs, other clients, or third parties.

10. Governing Law

These Terms are governed by the laws of Sri Lanka. Any disputes arising under these Terms that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the courts of Sri Lanka.
